Network Concepts Sales Agreement

TERMS OF PAYMENT: All goods are payable COD immediately upon receipt, unless otherwise arranged. Finance charges of 1.5% per month (not to exceed maximum allowed by law) shall be applied on balances over 15 days past due and then monthly thereafter. Handling charges will be assessed for returned checks. In the event of Purchaser’s default on payment for products purchased hereunder. Purchaser shall be responsible for all reasonable costs and expenses incurred by Network Concepts in collection of any sums owed Purchaser. Such reasonable costs and expenses of Network Concepts shall include, but are not be limited to, reasonable attorney’s fees, plus any other costs of such action. Network Concepts shall not be obligated to make any further deliveries to Purchaser.

DELIVERY: Shipment of all products shall be FOB Network Concepts. In the event of carrier’s damage, loss, or miss-delivery of product, it shall be the responsibility of the Purchaser to deal with the carrier. In the absence of specific shipping instructions, Network Concepts will select the method and carrier it deems best. Delivery schedules are approximate only. Network Concepts will make every reasonable effort to deliver on time, however, Network Concepts shall not be liable for late or lost shipments.

TITLE: Title and risk of loss or damage to product shall pass to Purchaser upon delivery to carrier or Purchaser or Purchaser’s Agent at FOB point. The above notwithstanding, Purchases agrees that Network Concepts shall retain a purchase money security interest in all products sold to Purchaser, and to all products now or hereafter acquired by Purchaser (“the collateral”) and to any proceeds from the disposition of said products until the purchase price and other charges due Network Concepts have been paid in full. Upon any default by Purchaser hereunder, Network Concepts shall have all rights and remedies of a secured party under the Uniform Commercial Code, which rights shall be cumulative.

SUPPORT PROGRAM CANCELLATIONS: You may cancel Prepaid Support Plans or delete products from NetShield upon thirty (30) days’ written notice. Network Concepts may discontinue support for products and specific support services no longer included in Network Concepts support offering upon sixty (60) days’ written notice. If you cancel Prepaid Support, Network Concepts will refund you a pro-rata amount for the unused prepaid support subject to an early termination fee of 1% of the Original Agreement. All discount on all other services will be changed to Standard Rate while the Support Agreement was in place and deducted from the final refund.

ORDER CHANGES: Orders accepted by Network Concepts are not subject to change or cancellation by Purchaser except with Network Concepts’ written consent and upon payment of an appropriate charge to cover the cost or loss incurred by Network Concepts which, unless otherwise agreed in writing, shall be not less than fifteen percent (15%) of the price of the goods subject to change or cancellation.

LIMITATION OF LIABILITY: In no event shall Network Concepts be liable for any loss of use, revenue or anticipatory profit or for any direct, indirect or consequential damage arising out of or connected with the sale, use or operation of goods sold or serviced. Network Concepts is not responsible for loss of data or the reinstallation of application software.

RETURN OF ITEMS: In order to return an item, you must provide: 1) Network Concepts’ invoice number and date, 2) Product model and serial number. Any product returned to Network Concepts must be complete and in original condition (including all original documentation manuals, parts, diskettes, packaging, cables, etc.)

CREDITS/EXCHANGES: Returns are for repair or replacement only, and entirely at the sole discretion of Network Concepts. Credits, refunds and exchanges are not allowed.

WARRANTY PERIOD: When purchased from Network Concepts, new systems are warranted free from defect in material and workmanship for six (6) months from the Network Concepts invoice date. Used systems are warranted free from defect in material and workmanship for 30 (thirty) days from Network Concepts invoice date. All new parts bought separately carry a 30-day in store warranty. Remaining warranty is with manufacturer after 30 Days. Network Concepts will handle the manufacturer’s warranty for a nominal fee subject to the work required.

LIMITED WARRANTY: This limited warranty is extended only to customers, hereinafter called purchasers, who purchase products from Network Concepts, subject to the following conditions, should this product prove defective by reason of improper workmanship of material under normal use and service conditions within six (6) months on new systems parts & labor or (30) thirty days on used systems from the date of original purchase by purchaser. Network Concepts will repair or, at its option, replace the product with charge for labor only. All new Hard Drives over 30 Days carry Manufacturer’s Warranty. This warranty does not cover damage to any component caused by power surge or power spike due to improperly connected equipment, or purchasers`misuse of software. If a component fails during the warranty period and the component is no longer available from Network Concepts’ distributors, purchaser has the option to upgrade and pay the cost difference between the failed component and the upgrade component. All items not manufactured by Network Concepts are subject to the original manufacturer warranty unless expressly stated and noted by Network Concepts.

SERVICE: Service for associated Network Concepts’ warranty items will be performed in our office. It is purchaser’s sole responsibility to return the serviceable item to Network Concepts’ office. The limited warranty does not apply if, (a) the product is damaged by accident, improper installation, misuse, lightning, fire, water, electrical surges or other acts of nature, (b) the product is altered or repaired by anyone other than Network Concepts authorized warranty station, or (c) the serial number is removed or tampered with. This warranty does not cover broken or marred cabinets, cases or covers. Should this product prove defective in workmanship or material, the Purchaser’s sole remedy shall be such repair or replacement as provided above. Under no circumstances shall Network Concepts be liable for any loss or damage direct, consequential, or accidental, arising from the use or inability to use this product. Network Concepts makes no warranty other than the one set forth herein. Such warranty is in lieu of all other warranties, express or implied, including but not limited to any expressed or implied warranty of merchantability or fitness for a particular purpose and such constitutes the only warranty made with respect to the goods. Acceptance of this product constitutes acceptance of the stated policy terms and conditions.

NON-SOLICITATION AGREEMENT: Customer agrees that it shall not offer employment to, nor shall it employ any Network Concepts. personnel who may provide sales, consulting, computer, printer, or network related support. The agreement not to employ any Network Concepts personnel shall remain binding during the term of the support agreement and for a period of two years following service rendered. Acceptance of service constitutes acceptance of the stated policy terms and conditions.

RETURNED CHECKS: Any and all returned checks will be subject to no less than a $25.00 (twenty five) fee.

ARBITRATION: In accordance with applicable state and federal law, Network Concepts, reserves the right to submit any disputes arising from this agreement to arbitration for resolution. Receipt of payment implies all parties agree to the terms of the contract as stated within.* In Home Service & Remote Support customers are required to have a valid credit card on file. Balances over 45 days will automatically be charged to the credit card on file. I authorize the above named business to charge the credit card indicated in this authorization form according to the terms outlined above. This payment authorization is for the goods/services described above. I certify that I am an authorized user of this credit card.

I authorize Network Concepts technician(s) to perform repair work on my electronic device. I understand that Network Concepts technicians have been trained to perform work on electronic devices but Network Concepts is not an authorized service dealer. Further, I agree to release, indemnify, and hold Network Concepts from liability for any claims or damages of any kind or description that may arise from any repair work performed on my electronic device, unless it is cause by severe negligence of Network Concepts or its agent.

I understand that Network Concepts is not responsible for any data loss, which may occur as a result of work done on my electronic device. I also understand that I have the option to, and I am responsible for backing up the device before allowing any repair to be performed on my device in the event of any data loss and hardware or software failure.

I understand that Network Concepts will not browse through any personal, private or confidential information or data; however, technicians may inadvertently see data during the course of their work. I understand that any confidential data should be removed from the device prior to having repair work performed on the device.

I understand that repairs or technical support performed by Network Concepts may void manufacturer warranties, especially in the case of iOS device repairs. Network Concepts and its affiliates do not assume any liability or warranty in the event that the manufacturer warranties are voided but may, at its sole discretion, offer its own warranty on the parts and/or services performed
